Terms and Conditions of Use
In order to proceed, you must agree to the following Terms and Conditions:

By Using the LawSourcing Site, You Agree to the Following:

The following describes the terms on which LawSourcing, LLC (“LawSourcing” or “We”) offers you (“You”, “you” or “User”) access to our services. By using the services available from the domain and sub-domains of www.lawsourcing.com (the "Site"), You are agreeing to the following terms and conditions with LawSourcing, including those available by hyperlink (the "Agreement", "User Agreement" or “Terms of Use”). Before You may become a user of LawSourcing, you must read and accept all of the terms and conditions in, and linked to, this Agreement. As you read this User Agreement, you also should access and read the linked information.

Except as otherwise stated in this Agreement, We may revise these terms from time to time by updating this posting. Unless otherwise provided below, the revised terms will take effect 30 days after they are initially posted on the Site. BY CONTINUING TO USE THE SITE AFTER THAT, YOU ARE INDICATING YOUR AGREEMENT TO THE REVISED TERMS OF THIS USER AGREEMENT AND ALL REVISIONS THEREOF. This Agreement is effective on November 10, 2006 for current users, and upon acceptance for new users.

1. This is a Contract.
By using this Site or agreeing to the terms during the registration process, you acknowledge your acceptance of the terms and conditions of this Agreement. By accepting the terms and conditions of this Agreement and completing the registration process, you are simultaneously (i) registering as a registered LawSourcing user, (ii) representing and warranting that you can legally enter into this Agreement, and (iii) agreeing to the terms and conditions of this Agreement. If you do not accept this Agreement, you are not authorized to use the Site.

2. Provide Accurate Information
You agree to provide true, accurate and complete information as prompted by the registration form, and maintain and update such information to maintain its truth, accuracy, and completeness. Whenever You post any information on or to the Site (including posting a request for services, bidding on a posted project, posting your profile, and/or providing feedback), You agree to provide true, accurate, and complete information. LawSourcing may terminate Your account upon the discovery that the information You provided is not true, accurate, and complete.

3. LawSourcing Overview
LawSourcing functions as a forum to connect buyers of services (“Buyers”) and service providers who bid on providing such services (“Service Providers”) in an online marketplace for the exchange of services, as well as to provide other services that LawSourcing may offer from time to time. As a facilitator, LawSourcing is not directly involved in the actual transactions between users of the Site. Accordingly, LawSourcing does not, and is under no obligation to, ensure the timeliness, accuracy, or completion of projects between Buyers and Service Providers.

4. Posting of Information on the Site
As a User, You will be allowed to post information, data and text to publicly accessible and limited-access areas of the Site. You are not permitted to post logos, seals or slogans from third parties on any part of the Site unless they are provided by LawSourcing or a LawSourcing partner, such as an Independent Verifier, or You have received prior express written permission from LawSourcing to display such logo, seal or slogan.

To operate the Site, LawSourcing needs certain rights. Consequently, when You post information, text, files, links, attachments, or other materials ("Content") to publicly visible areas of the Site, You are granting, or warranting that the owner of such Content has granted, a worldwide, royalty-free, perpetual, irrevocable, sublicensable, non-exclusive right to use, reproduce, modify, transmit, distribute, perform, and display such Content (in whole or in part) and/or to incorporate such Content in other works in any form, media or technology.

You will use good judgment when posting information, comments, or other Content regarding other users, LawSourcing or any other third party. You may be held legally responsible for damages suffered by other users, LawSourcing or other third parties as a result of legally actionable or defamatory comments, comments or other information or Content that You post to the Site. LawSourcing is not legally responsible for any comments, information or other Content posted or made available on the Site by any user or third party, even if such information or Content is defamatory or otherwise legally actionable. LawSourcing is not responsible for and does not monitor or censor Content for accuracy or reliability. However, LawSourcing may remove or restrict access to information or Content posted or made available on the Site by its users or any third party if ordered to do so by a court or if LawSourcing considers such information or Content to be in violation of this Agreement or posted rules or policies, including information or Content that LawSourcing reasonably considers to be obscene, violent, harassing, illegal, disparaging of LawSourcing or other users, or otherwise objectionable.

5. Buying and Selling Services on LawSourcing
Buyers will use the Site to post projects and make bid requests of Service Providers. We do not control, and are not directly involved in, the actual transactions between Service Providers and Buyers. Accordingly, we do not set or endorse (i) the price, contract terms, quality, conformance, or legality of the services or projects advertised or offered, or (ii) the ability of Service Providers to offer services and/or perform accordingly. We are not responsible for any transaction and/or contact, or the result of any such transaction and/or contact, made by and between users.

You agree to: (a) be financially responsible for Your use of the Site and the purchase of any services; (b) abide by LawSourcing's guidelines on posting projects and bidding on projects, which may be updated from time to time as set forth in this Agreement; and (c) perform your obligations and complete the transaction as specified by the terms of the posted project and/or your bid, once a Buyer has selected a Service Provider and the Service Provider has accepted a project, respectively. Specifically, upon acceptance of a bid, Buyers agree to purchase the services and the Service Providers agree to provide the services according to the terms of the final bid agreed upon by the parties, subject to any further agreed increase or decrease in project scope. If the scope of the project increases beyond the final bid price after the project begins, the parties must report that higher amount to LawSourcing through the invoicing system, as described below, and LawSourcing's transaction fee will increase proportionally to the contract value.

LawSourcing may make available to users on the Site the ability to have a user’s identity or credentials be verified by an independent third party ("Independent Verifier"). Use of the services provided by Independent Verifiers is voluntary. To become a “verified” Service Provider, users must pay the applicable fee to LawSourcing and be authenticated by the applicable Independent Verifier.

6. Payment and Invoicing
Upon acceptance of a Service Provider’s bid, the Buyer may transfer the necessary funds to LawSourcing to be placed into escrow via the Escrow Service (as defined in Section 8 below), or the Buyer and Service Provider may mutually agree to different payment terms. If the parties use the Escrow Service, Buyers may transfer the funds to LawSourcing using one of the methods provided on the Site, which include credit card, PayPal, and bank-to-bank wire transfer. If a Buyer chooses a bank-to-bank wire transfer, the Buyer will pay LawSourcing a surcharge to cover its expenses as follows:

  • Domestic. If Buyer sends from the United States: $20.00 U.S. Dollars;
  • International. If Buyer does not send from the United States: $40.00 U.S. Dollars.

If the Buyer’s payment is rejected by a financial institution due to insufficient funds, bad credit, charge back or other reason, the Buyer will compensate LawSourcing for the expense and inconvenience with an additional 15% service charge.

Service Providers are required to send invoices through the LawSourcing system for any projects initiated through LawSourcing. For each project accepted on LawSourcing, Service Providers agree to invoice all fees related to services delivered for the project via the LawSourcing invoice system. The Service Provider will provide LawSourcing with a list of items, including hours worked (if applicable), payment required, and description of the services provided, to be included on the invoice. Invoices can be sent individually and for part amounts as agreed by the parties. Failure to invoice through LawSourcing may result in immediate suspension of Your account.

Buyers are only obligated to pay invoices for services purchased as a result of posting a project on LawSourcing that are sent to them through the LawSourcing invoice system. Invoices that do not come through LawSourcing for services performed as a result of a project posted on LawSourcing should be considered invalid by the Buyer.

7. Taxes
You are responsible for payment and reporting of any taxes. LawSourcing will not, and is not obligated to, determine the applicability of any taxes or to remit, collect or report any such applicable taxes.

8. Escrow
Upon acceptance of a bid, Buyers may provide funds in the amount of the bid for escrow with LawSourcing. This is the most secure way to transact business on LawSourcing. If the parties elect to use the Escrow Service, then:

A. Buyers will provide to LawSourcing a payment for the services to be provided by the Service Provider, provided that Buyers have accepted such Service Provider’s bid for a project that Buyer posted (the “Escrow Service”). The amount escrowed will be equal to the amount of the bid accepted by the Buyer (the “Escrowed Funds”). We will hold the Escrowed Funds until the Buyer and the Service Provider have agreed that the funds should be released to the Service Provider or until the Buyer and the Service Provider have concluded the process of the Dispute Resolution Services (as defined in Section 9 below).

B. Law Sourcing will use all Escrowed Funds solely for the purpose of escrow transactions and not for any other use. LawSourcing will hold all Escrowed Funds in a dedicated separate account, maintained solely and exclusively for LawSourcing escrow accounts. This restriction will exist until funds are either released to the Service Provider or are physically transferred back to the Buyer. Although Escrowed Funds will be kept in a separate account from our internal funds, such Escrowed Funds will exist in a pooled fund together with other funds escrowed with us by other Buyers. LawSourcing will keep any interest earned on the Escrowed Funds.

C. By using LawSourcing for the Escrow Services, you expressly acknowledge that LawSourcing is not acting in a fiduciary capacity for either you or another LawSourcing user. Buyers agree to not move funds to escrow without the intention of paying the Service Provider upon completion of the project.

D. After the Buyer indicates its approval of a Service Provider’s work product provided to the Buyer in response to the Buyer’s project posting and such Service Provider’s bid (“Deliverables”), such approval to be made through the Site, we will retain the Transaction Fee (as defined in Section 10 below) and disburse the remainder of the Escrowed Funds to the Service Provider. If the Buyer does not approve of the Deliverables, the Buyer agrees to be bound by the terms of Section 9 below, relating to dispute resolution.

E. If a Buyer or a Service Provider requests Dispute Resolution Services through the Site regarding any project posting, Deliverable, or payment, we will notify both the Buyer and Service Provider that the matter will be addressed through the Dispute Resolution Services.

9. Dispute Resolution
A. Between Users.
(i) LawSourcing will offer to resolve a dispute between users if the Buyer and Service Provider used the Escrow Service and the dispute results from (a) a project posted by a Buyer on the Site, (b) a bid for the project by a Service Provider on the Site, and (c) an acceptance on the Site by the Buyer for such bid. You agree and acknowledge that (x) LawSourcing is not providing legal services to you, (y) LawSourcing will not advise you regarding any legal matters, and (z) if you desire to have legal counsel, you will seek independent legal counsel and not rely on LawSourcing for any such counsel.

(ii) If (a) the parties did not use the Escrow Service (and therefore did not have LawSourcing attempt to resolve the dispute) but do satisfy the remaining requirements in Section 9.A.(i) above, or (b) the Buyer and Service Provider do qualify to have LawSourcing resolve the dispute but are unable to reach a resolution with LawSourcing's participation, then in either such case you and the other LawSourcing user agree to have LawSourcing appoint a mediator (the “Mediator”) to resolve your dispute. Each of the disputing parties will pay the Mediator $50 U.S. for a total of two hours of the Mediator's time. The mediation will be conducted via email. You acknowledge and agree that the Mediator will only consider the Project Agreement (as defined below) entered into between you and a LawSourcing user through the Site. For purposes of dispute resolution services, the “Project Agreement” consists of the original project posting, a Service Provider’s bid, and any changes, amendments or related communications by the Buyer and Service Provider that have been conducted through the Site. You agree that any discussions conducted outside of the Site (including email and oral conversations) are not considered part of the Project Agreement and will not be taken into account.

(iii) In rendering a decision, the Mediator is only obligated to consider the following: (a) the Project Agreement; (b) the parties’ course of dealings, as evidenced by activity on or communications through the Site; (c) the actual Deliverable itself; and (d) any information or communication that both You and the LawSourcing user agree should be considered. You agree that the decision of the Mediator is final and binding on you. Accordingly, after the Mediator renders a decision, if the parties used the Escrow Service, we will promptly disburse Escrowed Funds from our escrow account in accordance with the decision.

(iv) As stated above, the cost of mediation is $50 U.S. per disputing party. The parties will pay the mediation fee prior to the start of the mediation. The Mediator, in rendering its decision, may decide that one party must pay the mediation fee.

(v) You acknowledge and agree that LawSourcing will not be a party to any dispute between you and another LawSourcing user or be obligated to take any action or refrain from taking any action toward resolving any such dispute except as specifically set forth in Section 9.A.(i) above. If you have a dispute with any other users of the Site, you hereby release LawSourcing from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, related to such a dispute.

B. Between You and LawSourcing. This Agreement will be governed in all respects by the laws of the State of Texas, U.S.A. as they apply to agreements entered into and to be performed entirely within Texas between Texas residents, without regard to conflict of law provisions. Any dispute between You and LawSourcing will be settled by one arbitrator in a binding arbitration under the arbitration rules of the American Arbitration Association. You agree that such arbitration will take place in Dallas, Texas, U.S.A. You agree to submit to the personal jurisdiction of Dallas, Texas for the purpose of arbitrating all such claims or disputes. Any dispute You have with respect to this Site, the service, or LawSourcing must be commenced within one year after it arises, or the cause of action is barred.

10. LawSourcing's Fee Structure

Registering on LawSourcing is free. We may charge fees for using other services, such as posting “featured” projects. We may choose to temporarily change the fees for our services for promotional events (for example, free “rush” or “featured” project days) or new services, and such changes are effective when we post the temporary promotional event or new service on the Site.

LawSourcing charges a per project transaction fee ("Transaction Fee"). This Transaction Fee is charged to Service Providers according to the following table:

LawSourcing does not charge a fee to Buyers to post projects.

We reserve the right to change the method of calculating the Transaction Fee at any time; however, the new Transaction Fee will apply only to projects accepted after notification of the changed fee.

11. Circumvention of LawSourcing’s Fee Structure
You agree not to engage in any action or activities meant to circumvent the Site or our stated fees. Prohibited actions or activities include the following:

  • Offering a service directly to a Buyer who has posted a project through LawSourcing, not using the Site to place a bid and accept an award;
  • Any agreement between Buyer and Service Provider to mislead or defraud LawSourcing by conducting a transaction at a different cost than the price agreed upon through LawSourcing;
  • Failing to report changed bid amounts or final project prices through the LawSourcing invoice system;
  • Placing low value or place-holder bids, with unreasonably high final project charges;
  • Advertising, spamming, or offering services to LawSourcing users without receiving request for contact from those users; and
  • Suggesting/soliciting Buyers to contact you directly to buy services outside of LawSourcing.

12. LawSourcing Subscription Fees
A. Subscription Levels. There is no charge for a “Basic” membership with LawSourcing. LawSourcing charges subscription fees to be a Gold or Platinum level member. Subscriptions may be paid monthly, quarterly or annually, with discounts given for quarterly and annual subscriptions in exchange for up-front payment and commitment to the full payment plan. The billing period begins on the date LawSourcing receives Your payment to become a Gold or Platinum level member. Monthly, quarterly and annual periods are calculated from the beginning of that billing period. 

B. Automatic Renewal. Monthly, quarterly and annual subscription fees are automatically renewed, unless cancelled by You. If You pay by credit card, LawSourcing will automatically charge the monthly, quarterly or annual fee to Your supplied credit card and You authorize Us to charge such credit card for the appropriate subscription fees and amounts stated. If You pay via the Stored Value Account, LawSourcing will deduct the appropriate subscription fee from Your Stored Value Account each month, quarter or each year, whichever is applicable. The renewal charges will be the same as the regular subscription fees as described above, unless otherwise notified in advance. LawSourcing reserves the right to increase subscription fees or to institute new fees at any time, upon reasonable notice posted in advance on this Site. Users may upgrade their status at any time and the unused portion of the subscription fee will be credited toward the upgraded level. Users changing to quarterly or annual subscriptions will have their new rates take effect at the beginning of the next billing date. Upgrading/adding additional categories will result in a new billing date effective upon the date of payment of the additional fees and, if applicable, will result in a credit of the unused portion of the existing category subscription.

C. Downgrades to a Lower Level or Your Cancellation of a Subscription. To cancel your paid subscription, click on the “My Account” link, then the “Downgrade or Cancel a Subscription” link. Cancellation goes into effect at the end of your present billing cycle. LawSourcing will send you an email confirmation once your subscription has been cancelled. You will not be liable for any additional subscription fees after your cancellation is effective. Subscription fees, whether paid monthly, quarterly or annually, are charged up-front and no refunds or credits are given upon cancellation. Additional fees may apply if you decide to resubscribe at a later date. If LawSourcing does not receive Your subscription payment on the billing cycle due date, LawSourcing will automatically cancel the subscription.

13. Feedback System
As a User, you will be able to post public feedback about users with whom you have transacted. You also agree to receive public feedback from users with whom you have transacted. Your feedback may consist of comments and ratings left by other users and LawSourcing may calculate an aggregate feedback number based on these individual ratings. Service Providers agree to be rated by Buyers along several criteria, as determined by LawSourcing. LawSourcing provides the feedback and rating system so that users can express their opinions publicly, and LawSourcing does not monitor or censor these opinions or investigate any comments for accuracy or reliability. Under federal law, LawSourcing is not legally responsible for any feedback or comments posted or made available on its site by any users or third parties, even if that information is defamatory or otherwise legally actionable. You will not take any action that undermines the integrity of the feedback system, including those outlined in the Feedback Policy.

14. User Obligations
You agree NOT to do any of the following while using the Site:

  • Violate any applicable law or regulation;
  • Access, tamper with or use non-public or non-authorized areas of the Site;
  • Tamper with postings of other users;
  • Solicit or gather any user's information available from the Site, such as other users' names and email addresses, or to transmit any unsolicited advertising, "junk mail", "spam" or "chain letters”;
  • Do anything that would create or impose an unreasonable or disproportionately large burden or load on the Site;
  • Impersonate or misrepresent Your affiliation with any person or entity;
  • Post false or misleading information about a product, service or service request;
  • Post or transmit any Content that infringes a third party's intellectual property rights or rights of publicity or privacy or that is unlawful, untrue, fraudulent, harassing, libelous, defamatory, abusive, threatening, pornographic, harmful (including viruses, corrupted files, or any other similar software or programs), disparaging of LawSourcing or other users, or otherwise objectionable;
  • Violate any other policies stated on the Site;
  • Repeat any action after you receive a warning or request to stop from LawSourcing, whether or not that action is explicitly stated in policies. This includes continuing to use the LawSourcing service under the same account, a different account, or reregistering under a new account after your account has been temporarily suspended, indefinitely suspended, or terminated; or
  • Fail to respond to an email from LawSourcing regarding violation, dispute or complaint.

15. LawSourcing May Cancel Your Account
LawSourcing reserves the right to terminate Your account for any reason, at its sole discretion. We may cancel Your account if we reasonably believe that You have violated or acted inconsistently with this User Agreement, or violated our rights or those of another party. We will notify You if we cancel your account, unless in our judgment giving notice would cause a risk of further violation or damages. However, we will notify You that Your account will be canceled if the law requires such notification. When Your account is canceled, You may no longer have access to data, messages, files and other material You keep on the Site. The material may be deleted along with all Your previous posts and bids. The provisions entitled "Errors and Disclaimer of Warranties," "Indemnity," "Limitation of Liability," "Audit Provisions and Keeping Records," "Reservation of Rights," and "General Provisions" will survive cancellation of Your registration. If LawSourcing terminates this User Agreement based upon Your breach of any portion of the User Agreement, LawSourcing reserves the right to refuse to provide registration to You in the future.

16. Privacy
We use your information only as described in the LawSourcing Privacy Policy, which is incorporated herein by reference. We view protection of users' privacy as a very important community principle. We store and process your information on computers located in the United States that are protected by technological security devices. For a complete description of how we use and protect your personal information, see the LawSourcing Privacy Policy. If you object to your information being transferred or used in this way, please do not use our services.

17. Intellectual Property.
A. Protection of Copyrights and Trademarks. The Site contains trademarks and other material furnished by LawSourcing, its licensors, and other users. You should assume that everything You see or read in publicly viewable areas of the Site that was not furnished or received by You (such as images, photographs, illustrations, text and other materials) is copyrighted unless otherwise noted. You may not sell, reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost or otherwise use any of the Content in any way for any public or commercial purpose without prior written consent of LawSourcing or the rights holder.

B. Intellectual Property Policy. LawSourcing respects the intellectual property of others and expects You to do the same. At our discretion and in appropriate circumstances, LawSourcing may terminate Your account if You infringe upon the intellectual property rights of others.

Pursuant to 17 United States Code 512(c)(2) (Digital Millennium Copyright Act of 1998), LawSourcing's designated agent for notice of alleged copyright infringement appearing on our Site is:

To file a notice of infringement with us, the person filing the notice needs to fulfill the requirements specified in Title II of the Digital Millennium Copyright Act of 1998.

C. Reservation of Rights; Limited Licenses. The Site and all intellectual property rights related to the Site, including copyrights, trademarks, service marks and any feedback left by users on the Site, are owned or licensed by us, and all right, title and interest in the Site and the related intellectual property rights remain our property. You must not reproduce, reverse engineer, decompile, disassemble, modify or create derivative works with respect to the Site and the related intellectual property, including any services provided via the Site, and this Agreement does not grant you permission to do so. You acknowledge that the LawSourcing logo and name are trademarks of LawSourcing, and may be registered in certain jurisdictions. All other product names, company names, marks, logos, and symbols on the Site may be the trademarks of their respective owners. Except where expressly provided by LawSourcing, nothing in this User Agreement shall be construed to confer any license under any of LawSourcing's or any third party's intellectual property rights, whether by estoppel, implication, or otherwise.

18. No Reproduction of the Site
This Site or any portion of this Site are the property of LawSourcing and may not be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose that is not expressly permitted by LawSourcing. LawSourcing reserves the right to refuse service, terminate accounts, and/or cancel service requests in its discretion, including if LawSourcing believes that a user's conduct violates applicable law or is harmful to the interests of LawSourcing or its users.

19. Errors and Disclaimer
YOU USE THE SITE AT YOUR RISK. We seek to provide a convenient and functional Site, but We do not guarantee that it will be error free or that the Site or the server that operates it are free of viruses or other harmful components. You should keep backup copies of material You maintain on or use with the Site. Due to the nature of security and viruses, LawSourcing strongly advises you to take your own security precautions, such as personal virus scanning software and/or encrypting sensitive communications.

EVERYTHING ON THE SITE (INCLUDING THIRD PARTY APPLICATIONS, SITE CONTENT AND SERVICES ON THE SITE) IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

LAWSOURCING MAKES NO WARRANTY THAT THE SITE (INCLUDING THIRD PARTY APPLICATIONS AND SITE CONTENT) WILL MEET USERS’ REQUIREMENTS, OR THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES LAWSOURCING MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE SITE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SITE. LAWSOURCING MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SITE OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SITE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LAWSOURCING OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

Our contracts with certain of our suppliers provide for scheduled maintenance, preventative maintenance, and emergency maintenance work. We will have no liability for any unavailability of the Site caused by our supplier's performance or lack of performance of the maintenance work needed to keep the Site operable. We also will not have any liability for any loss of data or transactions resulting from delays, non-deliveries, mis-deliveries or service interruptions caused by us, any third party acts, the acts of any web services provider or problems with the Internet infrastructure and networks external to the Site.

The Site may contain links to other web sites or resources. LawSourcing is not responsible or liable for (i) the availability or accuracy of such sites or resources, or (ii) the content, advertising, or products on or available from such sites or resources. When we provide links to other web sites or resources we do so only as a convenience and do not endorse and are not responsible for the content of any linked site.

20. Your Relationship with Third Parties
Your correspondence with merchants, advertisers, or users on the Site, including the development and delivery of related goods or services, and any other terms and conditions associated with such dealings, are solely between You and such merchant, advertiser, or user. You agree not to hold LawSourcing liable for any loss or damage resulting from any such dealings.

21. Third Party Content and Monitoring
LawSourcing is a distributor (and not a publisher) of content supplied by third parties (including Independent Verifiers) and users of this Site. LawSourcing has no editorial control over such content. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including, users and Independent Verifiers, are those of the respective author(s) or distributor(s) and not of LawSourcing. LawSourcing neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, information or statement made on this Site by anyone other than authorized LawSourcing employees acting in their official capacities. LawSourcing does not always confirm or verify if a Service Provider claiming to be a professional or claiming to be qualified to provide professional advice is in fact licensed or otherwise qualified to provide the services or advice being requested. You understand and acknowledge that LawSourcing is not responsible for and does not monitor Content for accuracy or reliability.

22. Indemnity
You agree to defend, indemnify, and hold harmless LawSourcing, its officers, directors, and employees (collectively, the “Indemnified Parties”), from and against any claims, actions or demands, including reasonable legal and accounting fees, made by any third party against the Indemnified Parties due to or resulting from Your use of the Site, the services offered through the Site, or the Site Content, including claims against the Indemnified Parties for unsatisfactory performance of services listed on the Site, or Your violation of this User Agreement. We will notify you in writing of any such claim, demand, action, cost, liability, loss or threat of any thereof, and cooperate with you in the defense or settlement thereof. We are entitled to participate in such defense through our own counsel at our own cost and expense.

23. Limitation of Liability
NEITHER LAWSOURCING NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE (INCLUDING THIRD PARTY APPLICATIONS AND SITE CONTENT) WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR INDIRECT DAMAGES RELATING TO THIS AGREEMENT OR RESULTING FROM YOUR ACCESS TO, OR USE OF, OR INABILITY TO USE THE SERVICES, THE SITE AND THE SITE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE KNOW OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT WILL LAWSOURCING'S LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF ANY USE OF THE SERVICES AND THIS SITE EXCEED THE GREATER OF (A) THE AGGREGATE AMOUNT COMMISSIONS ACTUALLY COLLECTED BY LAWSOURCING FROM YOU FOR THE SERVICES TO WHICH THE LIABILITY RELATES DURING THE SIX-MONTH PERIOD IMMEDIATELY PRCEDING THE DETERMINATION OF SUCH LIABILITY, AND (B) $500.00. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation or exclusion may not apply to You.

LawSourcing is not responsible for any liability related to the completion, timeliness, adequacy, and/or payment for services listed on our Site. Any questions, complaints or claims related to the completion, timeliness, adequacy, and/or payment for services should be directed to the appropriate Service Provider.

The limitations of liability provided in this Agreement inure to the benefit of LawSourcing and all of our respective officers, directors, employees, attorneys and agents.

24. Protect Your Password
You must safeguard the User ID and password You use to access this Site. You authorize us to assume that any person using the Site with Your User ID and password either is You or is authorized to act for You. It is your responsibility to notify us if you need to change or discontinue your User ID and password.

25. Parties Not Permitted to Participate on the Site.
While LawSourcing reserves the right to restrict use of the Site to anyone for any reason it deems appropriate, parties living in countries with which the United States has an economic embargo prohibiting economic activity with are never allowed to participate on the Site.

26. Audit Provisions and Keeping Records
For a period of two years after accepting a project, You will keep and maintain complete and accurate information and records related to that project, including the project description, the bid and payment terms, and information on all new or follow-up projects performed for that Buyer, necessary and sufficient to calculate the applicable transaction fees due to LawSourcing. In the event of a dispute regarding the amount of transaction fees due to LawSourcing, including a good-faith belief by LawSourcing that the transaction fees paid have been underreported or are inaccurate, upon 30 days’ written notice and request, LawSourcing will have the right to audit your records to determine whether You have paid the full transaction fees due to LawSourcing. You will provide copies of all records or other documentation relevant to the calculation of such amounts. You will promptly pay to LawSourcing the amount of underpayment, if any, disclosed by the audit or otherwise, along with any monthly finance charges applicable to the amount of the underpayment, calculated at the rate of one and one-half percent (1.5%) per month (or the highest rate permitted by law, if less). LawSourcing will pay all costs of such examination and audit unless such audit discovers a discrepancy of five percent (5%) or more between the amount of transaction fees paid to LawSourcing for the time period in question and the amount of transaction fees due to LawSourcing by You during such time period, in which case You are responsible for paying the reasonable costs of the audit.

27. Notices
LawSourcing will provide notices by posting them on the Site and You agree to check the Site at least every 30 days for notices. You also authorize LawSourcing to send notices to You, at LawSourcing's reasonable discretion, via electronic mail unless You otherwise indicate in writing to LawSourcing. Regardless of whether LawSourcing sends an email notification, You will be considered to have received a notice 30 days after it is made available to You by posting on the Site.

28. General Provisions
You are responsible for compliance with applicable laws, keeping in mind that access to the Site Content may not be legal by certain persons or in certain countries. If any part of this User Agreement is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect. Failure of either party to act or exercise its respective rights under this Agreement upon the breach of any other terms hereof by the other party shall not be construed as a waiver of such a breach or prevent that party from thereafter enforcing strict compliance with the terms thereof.

This User Agreement is personal to You and You may not transfer, assign or delegate this User Agreement to anyone without the express written permission of LawSourcing. Any attempt by You to assign, transfer or assign this User Agreement without the written consent of LawSourcing is null and void. LawSourcing has the right to transfer or assign this Agreement and the rights hereunder to any other person or entity without your consent. This User Agreement and any registration for or subsequent use of the Site will not be construed as creating or implying any relationship of agency, independent contractor, franchise, partnership, or joint venture between any User and LawSourcing.

This User Agreement and the agreements referenced in this User Agreement comprise the entire agreement between You and LawSourcing with respect to Your use of the Site and your relationship with LawSourcing and supersedes all prior agreements between us regarding the subject matter of this Agreement as well as any conflicting or inconsistent terms in any web site that links-to or is linked-from the Site.
